Jubilant Agri and Consumer Products Limited (JACPL) has announced that it will convene a meeting of its equity shareholders on September 5, 2026, to seek approval for the proposed Scheme of Arrangement for the demerger of the company into Jubilant Agri Solutions Limited (JASL).
The meeting has been convened pursuant to the directions of the National Company Law Tribunal (NCLT), Allahabad Bench, following its order dated July 8, 2026.
Shareholders’ Meeting Scheduled for September 5
According to the company’s regulatory filing, the meeting of equity shareholders will be held on Saturday, September 5, 2026, at 11:30 AM (IST) at the company’s registered office in Bhartiagram, Gajraula, Uttar Pradesh.
Shareholders will consider and, if deemed appropriate, approve the proposed Scheme of Arrangement, with or without modifications, under Sections 230 to 232 of the Companies Act, 2013.
Remote e-Voting Opens September 2
Jubilant Agri has also provided shareholders with the option to vote electronically before the meeting.
The remote e-voting schedule is as follows:
- Start: September 2, 2026, at 9:00 AM (IST)
- End: September 4, 2026, at 5:00 PM (IST)
Shareholders may also vote through a poll at the meeting venue if they have not already exercised their voting rights through remote e-voting.
The cut-off date for determining shareholder eligibility to vote is August 6, 2026.
Notice and Scheme Documents Dispatched
The company said it has completed the dispatch of the meeting notice, explanatory statement and accompanying documents to eligible shareholders on August 1, 2026.
Electronic copies have been sent to shareholders with registered email addresses, while physical copies have been dispatched via Speed Post to remaining eligible shareholders.

Demerger Proposal
The proposed Scheme of Arrangement involves the demerger between Jubilant Agri and Consumer Products Limited, the demerged company, and Jubilant Agri Solutions Limited, the resulting company.
The scheme aims to separate the identified business undertaking into the resulting company, subject to approval by shareholders, creditors, the NCLT and other regulatory authorities.
NCLT-Appointed Officials
The NCLT has appointed Deep Chandra Joshi, Former Acting President of the NCLT, as Chairperson for the shareholders’ meeting, while Saumyam Krishna has been appointed as the Alternate Chairperson.
Anil Kumar has been appointed as the Scrutinizer to oversee the voting process.
Following the meeting, the voting results along with the Scrutinizer’s Report will be submitted to the stock exchanges within two working days and subsequently filed before the NCLT.
Next Steps
Even if approved by shareholders, the proposed demerger will become effective only after receiving the necessary approvals from the NCLT and other applicable regulatory authorities, in accordance with the Companies Act, 2013.
