Bajaj Holdings & Investment Ltd. (NSE: BAJAJHLDNG, BSE: 500490) successfully conducted its 81st Annual General Meeting (AGM) via video conferencing on Friday, with shareholders considering and approving key business resolutions, including a final dividend of ₹130 per equity share for the financial year ended March 31, 2026.
The meeting was chaired by Shekhar Bajaj, Chairman of the company, and attended by 177 shareholders through virtual mode in compliance with SEBI and Ministry of Corporate Affairs (MCA) guidelines.
Shareholders Considered Five Key Resolutions
During the AGM, members considered and approved the following resolutions:
- Adoption of the standalone and consolidated financial statements for FY2025-26.
- Declaration of a final dividend of ₹130 per equity share (face value ₹10).
- Re-appointment of Shekhar Bajaj as a director retiring by rotation.
- Re-appointment of Dr. Arindam Kumar Bhattacharya as an Independent Director for a second term of five years effective September 17, 2026.
- Approval for payment of commission to non-executive directors for a period of five years beginning April 1, 2026.
Chairman Reviews FY26 Performance
During his address, Chairman Shekhar Bajaj highlighted the company’s financial performance during FY2025-26, reviewed the first-quarter developments of FY2026-27, and discussed key developments across the Bajaj Group.
The company also informed shareholders that both the Statutory Auditors’ Report and the Secretarial Audit Report for FY2025-26 contained no qualifications, adverse remarks or disclaimers affecting the company’s functioning.
Shareholder Interaction and E-Voting
Shareholders who had registered as speakers participated in the meeting by raising questions and offering suggestions. The queries were addressed by Anant Marathe, Chief Financial Officer.
The company provided remote e-voting facilities before the AGM and electronic voting during the meeting for eligible shareholders who had not voted earlier.
Bajaj Holdings said the voting results along with the Scrutiniser’s Report will be announced within two working days and will be made available on the company’s website and that of its registrar, KFin Technologies.
The AGM commenced at 4:00 PM and concluded at 5:25 PM, including the time allotted for electronic voting.
