IT services company Persistent Systems Ltd has announced an internal group restructuring involving the transfer of its overseas subsidiaries, according to a regulatory filing made on December 24, 2025.
The company informed stock exchanges that it has executed a Share Purchase Agreement (SPA) as part of entity rationalisation and operational efficiency initiatives within the group. The restructuring involves the transfer of 100 percent shareholding in three overseas subsidiaries currently held by Persistent Systems Germany GmbH.
As per the agreement, Persistent Systems Costa Rica Limitada will be transferred to Persistent Systems Inc., USA, while Persistent Systems Switzerland AG and Persistent Systems S.R.L., Romania will be transferred to Aepona Group Limited, Ireland. All transactions are related-party transactions conducted at arm’s length, the company said.
The Costa Rica subsidiary, incorporated in 2018 and operating in IT-enabled services, reported a FY25 turnover of CRC 3.28 billion. The consideration for the transfer has been fixed at CRC 280.91 million, with the transaction expected to be completed before March 31, 2026.
Persistent Systems Switzerland AG, incorporated in 2001 and engaged in software services, posted FY25 revenue of CHF 7.14 million. The shares will be transferred for a cash consideration of CHF 8.81 million. Meanwhile, Persistent Systems S.R.L., Romania, incorporated in 2022, recorded FY25 turnover of RON 11.61 million and will be transferred for RON 4.01 million.
Following the restructuring, the Costa Rica entity will become a wholly owned subsidiary of Persistent Systems Inc., USA, while the Switzerland and Romania entities will become wholly owned subsidiaries of Aepona Group Limited, Ireland.
The company clarified that no regulatory or governmental approvals are required for these transactions and that there is no promoter or promoter group interest in the entities involved. Persistent Systems stated that the restructuring is aimed at improving group efficiency and simplifying the ownership structure, without impacting its core business operations.
