INOX Green Energy Services Limited has announced the successful approval of its Scheme of Arrangement with INOX Renewable Solutions Limited and their respective shareholders, following a court-convened meeting held on November 1, 2025.
The meetings were held pursuant to directions issued by the National Company Law Tribunal (NCLT), Ahmedabad Bench, as part of the company’s ongoing restructuring process. The sessions — conducted via video conferencing for transparency and ease of participation — included separate meetings for equity shareholders, warrant holders, secured creditors, and unsecured creditors.
Voting Outcome
The proposed scheme received overwhelming support across all stakeholder categories, with more than 75% votes in value cast in favour of the resolution.
Both promoter and public shareholders approved the plan, meeting SEBI’s requirements for majority public consent. Warrant holders and creditors also gave unanimous approval, with no votes against recorded in any class.

The Scheme of Arrangement seeks to streamline operations and strengthen corporate governance between INOX Green Energy Services and INOX Renewable Solutions.
The NCLT’s order, together with the shareholders’ approval, authorises the company’s board to take necessary steps to implement the scheme and make any modifications required by regulatory authorities without further shareholder approval.
Regulatory Oversight and Transparency
A court-appointed Scrutinizer oversaw the e-voting and real-time voting processes, ensuring compliance with the Companies Act, 2013, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and related circulars. The scrutinizer’s reports and voting records have been made available in regulatory filings and on the company’s official website.
