Brainbees Solutions Limited, the parent company of FirstCry, on Friday, December 26, 2025, disclosed significant corporate actions following its board meeting.
Intra-Group Restructuring:
The company approved the acquisition of an additional 56.27 lakh equity shares in its subsidiary, Swara Baby Products Private Limited (“Swara Baby”), in exchange for 52,890 Series A1 equity shares in Solis Hygiene Private Limited (“Solis Hygiene”), another subsidiary.
Following this transaction:
- The company’s stake in Swara Baby will increase from 75.92% to 76.59%.
- Solis Hygiene will become a step-down subsidiary, with the company holding 76.59% indirect control.
- Swara Baby will acquire 100% of Solis Hygiene, consolidating the hygiene vertical under one entity.
Solis Hygiene contributed INR 240.7 crore in turnover and INR 84.8 crore in net worth during FY 2024-25, while Swara Baby recorded a turnover of INR 545.14 crore and net worth of INR 291.96 crore for the same period. The total consideration for the restructuring is INR 84.40 crore for Swara Baby and INR 106.38 crore for Solis Hygiene. The transaction is expected to be completed on or before December 31, 2025.
Change in Company Secretary & Compliance Officer:
- Ms. Neha Surana resigned from her role as Company Secretary & Compliance Officer effective December 26, 2025, citing personal reasons. She will remain with the company as part of the secretarial team.
- Mr. Mandar Joshi has been appointed as the new Company Secretary & Compliance Officer and Key Managerial Personnel, effective December 27, 2025. Mr. Joshi brings over 12 years of experience in company secretarial, corporate law compliance, governance, and legal functions across sectors including pharmaceuticals, energy, automotive components, and manufacturing
